1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

  • "Brizok" refers to the consulting practice operating under that name, registered and based at Suite 14-2A, Tower B, Penang Times Square, 10100 George Town, Penang, Malaysia.
  • "Client" refers to any person or organisation that engages Brizok for consulting services or uses this website.
  • "Engagement" refers to any agreed consulting service, including the Five-Year Foresight, Quiet Horizon Workshop, or Observation Note.
  • "Agreement" refers to the scope letter or other written confirmation of an Engagement, read together with these Terms.
  • "Website" refers to the site accessible at brizokxa.

2. Acceptance of Terms

By using this Website or entering into an Engagement with Brizok, you agree to these Terms and Conditions. If you do not accept these Terms, you should not use the Website or proceed with an Engagement. You must be at least 18 years of age to enter into an Agreement with Brizok.

3. Service Description

Brizok provides strategic foresight consulting services to senior leadership teams and business owners in Malaysia. Our services are described in detail on the Website and in individual scope documents provided prior to the commencement of each Engagement. Services are available to clients based in Malaysia; availability to international clients is subject to prior discussion.

4. Engagement Terms

Scope and commencement

Each Engagement is governed by a written scope document setting out the deliverables, timeline, fee, and any specific terms. Work commences only after written agreement on scope and receipt of any agreed initial payment.

Client responsibilities

The Client agrees to provide information reasonably requested by Brizok for the purposes of the Engagement, to make relevant personnel available for working sessions, and to review and respond to draft materials within the timelines agreed in the scope document.

Changes to scope

Material changes to the scope of an Engagement require written agreement from both parties. Changes that increase the scope may result in a revised fee, which will be agreed before additional work commences.

5. User Conduct

Users of this Website agree not to use it in any manner that is unlawful, harmful, or disruptive. Prohibited conduct includes attempting to gain unauthorised access to the site's systems, uploading malicious software, scraping content without permission, or using the Website for any purpose that is deceptive or harmful to others.

6. Intellectual Property

All content on this Website — including text, design, and structure — is the property of Brizok and may not be reproduced or distributed without prior written consent. Deliverables produced in the course of an Engagement are the property of Brizok until full payment has been received, at which point ownership of the deliverables transfers to the Client. Brizok retains the right to use anonymised, de-identified insights from its work for the purpose of developing its own knowledge and practice.

7. Fees and Payment

Fees are stated in Malaysian Ringgit (MYR) and are as agreed in the scope document for each Engagement. Payment terms are set out in the scope document and are typically structured as an initial payment on commencement and a final payment on delivery. Invoices are payable within fourteen days of issue. Brizok reserves the right to pause work on an Engagement in the event of overdue payment.

8. Refund Policy

Initial payments made on commencement of an Engagement are non-refundable. If a Client terminates an Engagement before completion, Brizok will invoice for work completed to the date of termination, calculated as a reasonable proportion of the total Engagement fee. No refund is payable for completed deliverables that have been accepted by the Client.

9. Disclaimers

The foresight work undertaken by Brizok is intended to support decision-making; it does not constitute a prediction or a recommendation to take any particular commercial action. Brizok makes no representation that any scenario or outcome described will occur. All professional judgements are offered in good faith on the basis of available information. This Website is provided "as is" and Brizok does not warrant that it will be error-free or continuously available.

10. Limitation of Liability

To the extent permitted by Malaysian law, Brizok's liability in connection with any Engagement is limited to the total fees paid by the Client for that Engagement. Brizok is not liable for indirect, consequential, or special losses arising from the use of any deliverable or the Website. Nothing in these Terms limits liability for fraud or for death or personal injury caused by negligence.

11. Confidentiality

Both parties agree to hold the other's confidential information in strict confidence and not to disclose it to third parties without the other's written consent, except as required by law. This obligation continues for a period of five years after the conclusion of the relevant Engagement. A separate non-disclosure agreement may be entered into at the commencement of each Engagement.

12. Termination

Either party may terminate an Engagement by written notice if the other party is in material breach and has not remedied the breach within fourteen days of receiving written notice. Brizok may also terminate this Agreement immediately if the Client acts in a manner that is harmful to Brizok's reputation or in breach of applicable law.

13. Dispute Resolution

In the event of a dispute, the parties will first attempt to resolve it through good-faith discussion within thirty days of one party notifying the other in writing. If resolution is not reached, the parties may agree to refer the matter to a mediator. These Terms are governed by the laws of Malaysia, and the parties submit to the non-exclusive jurisdiction of the Malaysian courts.

14. General

These Terms constitute the entire agreement between the parties in relation to their subject matter and supersede all prior discussions or representations. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force. Brizok's failure to enforce any provision does not constitute a waiver of that provision.

15. Changes to These Terms

Brizok may update these Terms from time to time. The effective date at the top of this page will reflect the most recent revision. Continued use of the Website after an update constitutes acceptance of the revised Terms. If changes materially affect an ongoing Engagement, Brizok will notify the Client directly.
